Legal Due Diligence: We handle all legal due diligence works for purpose of the M&A transactions.

Policy and Approach: We advise on the policies of Vietnam on corporate mergers and acquisitions with analyses of legal restrictions and practical barriers to on-shore or offshore buyers/sellers; Recommending creative solutions for problems or difficulties from legal and practical aspects of the M&A transactions.

Advice and Documentation: Advising on all legal aspects related to M&A transactions, including reviewing and counseling clients on documents used in the transactions, with any necessary legal suggestions and/or alerts; Drafting all contractual documents of the M&A transactions and relevant documents for completing the M&A transactions.

Negotiation: Representing clients in negotiation with relevant parties on the deal and contractual documents toward completion of the deal.

Licensing Approval: Representing clients in submitting the application dossiers and following up the appraisal and registration process of the transactions with Vietnamese authorities; Representing clients in explaining on the transactions with Vietnamese authorities in order to secure approvals, registrations, etc.
