- Assisting a big investment fund operating in Vietnam in conducting a comprehensive legal due diligence on a company running in-building system (IBS) business in the North of Vietnam (which develops and owns IBS in more than 100 buildings) (2013-2014). Structuring the deal of share acquisition of 75% shares of the target company;
- Drafting full a full set of contractual documents (including a share purchase agreement, other contracts and agreements as contemplated therein such as share mortgage agreement, shareholder agreement, etc.) for realizing the share acquisition and assisting the client in negotiating, finalizing and signing the contractual documents with the share sellers.
- Following our successful assistance in the first deal in IBS business as mentioned above, assisting such investment fund in conducting a comprehensive legal due diligence on a company running in-building system (IBS) business in the South of Vietnam (which develops and owns IBS in more than 100 buildings) (2014-2015). Structuring the deal of share acquisition of 90% shares of the target company;
- Drafting full a full set of contractual documents (including a share purchase agreement, other contracts and agreements as contemplated therein such as share mortgage agreement, shareholder agreement, etc.) for realizing the share acquisition and assisting the client in negotiating, finalizing and signing the contractual documents with the share sellers.
- Assisting the developer of a hydropower project in Lao Cai Province, Vietnam (which is a company with majority of capital owned by a Singapore investor) in reviewing, revising, negotiating and finalizing a share subscription agreement with a big Indian investor who wants to subscribe shares in that company to become a shareholder holding 73.6% shares in that company (2013). Carrying out formalities and procedures for registering the investors as shareholder holding 73.6% of total share of the target company.
- Assisting the majority Singaporean shareholder in one of the biggest companies in Vietnam operating electronic commerce (especially in famous “group-buy” scheme) in resolving many disputes with the local shareholders from 2012 to 2013.
The result of such settlement is a comprehensive agreement among the shareholders on overall re-structure of that company. Local shareholders have sold all of their shares to the foreign shareholders. - We have assisted foreign shareholders in drafting many agreements, contracts and other application dossiers for implementing and completing the restructure; negotiating with the local shareholders for finalizing the documents; registering the share transfer with the competent authority.
- Representing the client being an offshore company in the M&A transaction for sale of 100% equity capital in an industrial zone development company in Vietnam, in which our lawyers provide legal services including advice, documentation and negotiation assistance.
- Advice, documentation, DD and negotiation assistance in favor of one of the biggest capital funds in Vietnam in a variety of M&A transactions in infrastructure sector in Vietnam
- Advice, documentation and negotiation assistance in favor of a Vietnamese company in an M&A transaction for selling a mining company to an Indian investor
