- Advice and documentation for Build – Operation – Transfer (BOT) Contract for construction of Hanoi – Hai Phong new express highway with investment capital of about USD1.5 billion
- Advice for the biggest motorcycle manufacturer in Vietnam on various legal issues relating to its operation in Vietnam such as taxes and duty, corporate governance, technology transfer, customs, foreign currency, labor, commercial contracts, etc.
- Assisting a leading cattle-feed manufacturer in Binh Duong province – Vietnam (a French investor) in supplementing import right and distribution right of veterinary antibiotics; raw materials for manufacturing foodstuffs for cattle, poultry and aquatic organisms, etc.. Our works are inclusive of legal advice, documentation and conduct of legal procedures for getting the client’s investment certificate amended for supplementing such business lines.
- Assisting Singaporean shareholder of a biggest five-star hotel in Lao Cai City, Vietnam in re-structuring the shareholding ratios of the hotel so as to increase their shareholding ratio from 75% to 95%.
- Drafting the agreement for the 20% stake purchase, new joint venture contract, new charter, decisions of shareholders’ meeting and directors of the buyers and seller in favour of the deals.
- Assisting the foreign shareholder in negotiating and concluding the deal with the local shareholder and getting the restructure registered and confirmed by the competent authorities.
- 5. Assisting a Japanese investor in establishing its subsidiary in Vietnam engaging in import and distribution of metal parts in Vietnam. Our services are inclusive of legal advice, documentation and performance of legal procedures for obtaining investment certificate issued by the competent authority for such investor.
After incorporation of the subsidiary, we were engaged as its retaining lawyers to provide it with legal advices on various matters such as tax, investment, labor and customs. We recommended the distribution structure of the subsidiary’s products that subsidiary transferred the metal parts to bonded warehouses and let its customers to import from such bonded warehouses into Vietnam so that the importers will be entitled to refund of import tax when they export the finished products (made from the metal parts) out of Vietnam. - Assisting a leading steel maker in Vietnam (being foreign invested company) in restructuring its shareholding ratio;
- The target is a private company in Central of Vietnam which buys marble from the miners, processes it and sells powder to a number of paint makers and traders. The target has 2ha of land and factory, equipment thereon and employs many employees.
Our lawyers performed the primary legal assessment, letter of intent, comprehensive legal due diligence and prepares the share purchase agreement. We recommend the target to complete ownership title for the factory and increase the charter capital in the business registration certificate for the purpose of a M&A transaction with an Indian investor. - Advice, documentation, negotiation assistance and application for investment license for hydro power plant of over US$60 million in North of Vietnam, and advising for post-licensing works of the project
